Terms of service
Effective October 29, 2026
This is a draft for legal review, and a lawyer has not reviewed it yet. Bracketed placeholders are filled from the operator's configuration.
These terms are an agreement between you and [Your company legal name] (“we”) for the use of Walrus Receipts. By creating an account you agree to them. If you use Walrus Receipts for a company, you confirm that you may accept these terms on its behalf.
1. The service
Walrus Receipts lets you upload receipts, extracts their details automatically, organises them into expense categories aligned with IRS Schedule C, and produces reports and exports. We may improve or change features over time, and we'll give notice before removing anything material that you pay for.
2. Not tax, legal or accounting advice
Walrus Receipts is a record-keeping tool. Categories, deductibility estimates and guidance are general information based on published IRS material, and they may not fit your situation. Automatic extraction can make mistakes. You are responsible for checking your records and for your tax filings, so consult a qualified tax professional for advice.
3. Your account
- You must be at least 18 and give accurate information.
- Keep your password secret and tell us promptly about any unauthorised use. You are responsible for activity under your account.
- Each account is for one person, so don't share accounts.
4. Free trial, subscription and billing
- New accounts get a 30-day free trial with full access, which starts when you add a payment card through Stripe. Unless you cancel before the trial ends, we charge that card $9.99 on the day the trial ends and then every month until you cancel. Stripe e-mails you a reminder with a link to cancel 7 days before the first charge.
- Each person gets one free trial. A new account for an e-mail address that has already had a trial, including an address that differs only by a "+" tag or, for Gmail, by dots, continues that trial instead of starting a new one.
- After the trial, continued full access costs $9.99 per month (plus any applicable taxes), billed in advance through Stripe. If you subscribe during the trial, the first charge happens when the trial ends.
- Subscriptions renew automatically each month until you cancel. You can cancel any time on the billing page, and access continues until the end of the trial or the paid period. If you cancel during the free trial, you aren't charged.
- If a payment fails, we retry it for a limited period, and you keep access while we retry.
- Except where the law requires otherwise, payments are non-refundable and we don't give credit for partial months. [The refund policy still needs to be confirmed.]
- We may change the price with at least 30 days' notice by e-mail, and the new price applies from your next billing period.
5. If you stop paying
When a trial ends without a subscription, or a subscription ends, your account becomes read-only. You can still sign in, view and search your expenses, download reports and exports, export all your data and delete your account. You can't add or change expenses until you subscribe again. We don't delete your data because you stopped paying.
6. Your content
You own the receipts, files and information you put into Walrus Receipts (“your content”). You give us permission to host, copy, process and display your content only as needed to provide and secure the service, which includes sending receipt files to our extraction provider to read them. Our privacy policy explains how we handle personal data. You confirm that you have the right to upload your content.
7. Acceptable use
You must not use Walrus Receipts to do any of the following:
- You must not upload content that is unlawful, that you have no right to, or that contains malware.
- You must not create false records or commit fraud, including tax fraud.
- You must not probe, scan or test the security of the service without our written permission (see our security page for responsible disclosure), and you must not circumvent rate limits or access controls.
- You must not overload the service, scrape it or resell it.
8. Ending the agreement
You can delete your account at any time in Settings. We may suspend or close accounts that seriously or repeatedly break these terms, or where the law requires it. Unless that would be unlawful or create a security risk, we'll tell you first and give you a chance to export your data.
9. Disclaimers
The service is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we don't promise that the service will be uninterrupted or error-free or that extracted data will be accurate.
10. Limitation of liability
To the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or tax benefits, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Some jurisdictions don't allow these limitations, so they may not apply to you.
11. Indemnity
You agree to defend and indemnify us against claims that arise from your content or your breach of these terms, to the extent the law allows.
12. Governing law
These terms are governed by the laws of the State of [State], USA, without regard to conflict-of-law rules. Courts located in [State] have exclusive jurisdiction, except that consumers keep any right to bring claims where they live. [The dispute-resolution or arbitration clause still needs to be decided with counsel.]
13. Changes to these terms
We may update these terms. For material changes, we'll e-mail you at least 30 days in advance, and continuing to use the service afterwards means you accept them.
